These Terms govern Formosi’s public websites and online services. Paid client work is governed by the proposal, scope of work or services agreement you approve. Cleaner that way.

Start with the useful part.
Use the Site lawfully, respect Formosi’s work and do not mistake marketing estimates for guaranteed outcomes. If you hire us, the agreement for that work controls the engagement.
Scope, fees, deliverables, timelines, ownership and cancellation terms belong in the agreement for the work.
We work hard and measure performance. We do not guarantee rankings, leads, revenue or a specific business result.
1. Acceptance of these Terms
These Terms of Use (“Terms”) are an agreement between you and Formosi, Inc. (“Formosi,” “we,” “us” or “our”). They govern your access to and use of Formosi websites, public pages, forms, booking tools, content and other online services that link to these Terms (collectively, the “Site”).
By accessing or using the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.
You must be at least 18 years old and legally able to enter into a binding agreement to purchase Services or create a business account. If you use the Site for a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. Client agreements control paid work
These Terms govern use of the public Site. They do not replace a proposal, order form, scope of work, Master Services Agreement, subscription agreement, platform agreement or other written contract between you and Formosi (each, a “Client Agreement”).
A Client Agreement may address deliverables, fees, payment schedules, advertising budgets, subscriptions, timelines, approvals, revisions, ownership, licenses, confidentiality, cancellation, data processing and other terms specific to the engagement.
If these Terms conflict with a Client Agreement, the Client Agreement controls for the paid Services covered by that agreement.
Courses, vouchers, promotions, affiliate programs and other special offerings may include additional terms. Those additional terms control if they conflict with these Terms for that offering.
3. Site content and limited license
The Site and its content, including text, designs, graphics, logos, photographs, videos, software, interfaces, code, downloads and arrangement, are owned by Formosi or used with permission and are protected by intellectual property laws.
Formosi grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for lawful personal or internal business purposes. This license does not allow you to:
- Copy, republish, sell, license or commercially exploit Site content without written permission.
- Remove copyright, trademark or other proprietary notices.
- Frame the Site or use Formosi branding in a way that suggests sponsorship or endorsement.
- Reverse engineer, decompile or attempt to extract source code except where the law expressly permits it.
No right or license is granted by implication. Formosi and its logos, product names and service names are trademarks or trade dress of Formosi and may not be used without written permission.
4. Acceptable use
You agree not to:
- Use the Site for an unlawful, fraudulent, deceptive, abusive or harmful purpose.
- Attempt to gain unauthorized access to an account, system, server, network or restricted area.
- Interfere with Site operation, security or another person’s use of the Site.
- Introduce malware, malicious code or material designed to disrupt or damage systems.
- Use automated tools to scrape, harvest or extract protected Site content or personal information without written permission.
- Impersonate another person or misrepresent your identity, authority or affiliation.
- Use the Site to send spam or communications that violate applicable consent, marketing or privacy laws.
- Upload or submit content that infringes intellectual property, privacy, publicity or other rights.
- Use Formosi content, data or Services to develop, train or improve a competing product or artificial intelligence model without written permission.
We may investigate suspected misuse and may restrict or terminate access where reasonably necessary to protect the Site, Formosi, our clients or others.
5. Accounts and security
If you create or receive an account, you are responsible for providing accurate information, maintaining the confidentiality of your credentials and all activity conducted through the account. Notify Formosi promptly if you suspect unauthorized access or a security incident involving your account.
You may not share credentials except with authorized members of your organization where the applicable service permits it. Formosi may suspend access to protect an account, investigate misuse, comply with law or address unpaid amounts under an applicable Client Agreement.
6. Electronic communications
When you use the Site, submit a form, book a meeting or communicate electronically, you consent to receive records, notices and communications electronically where permitted by law.
If you separately opt in to text messages, message frequency varies and message and data rates may apply. Reply STOP to opt out and HELP for assistance. Consent to marketing text messages is not a condition of purchase. You may unsubscribe from marketing emails using the unsubscribe link in the message.
Service, transaction, appointment, billing, security and account communications may still be sent when necessary to administer your relationship with Formosi.
7. Feedback, reviews and materials you provide
Feedback
If you voluntarily send an unsolicited idea, suggestion or feedback about the Site or Services, you grant Formosi permission to use it without restriction or compensation. Do not submit confidential information through a general feedback channel.
Reviews and public submissions
If you submit a review, testimonial, comment, photograph or other material for public display, you represent that you have the necessary rights and that the content is truthful and lawful. You grant Formosi a non-exclusive, worldwide, royalty-free license to reproduce, edit for length or formatting, publish and display that submission in connection with Formosi and its marketing. Formosi may remove public submissions but is not required to monitor them.
Client materials
Logos, photographs, copy, customer data and other materials supplied for paid client work (“Client Materials”) remain owned by the client or applicable rights holder. The client grants Formosi the rights reasonably necessary to perform the Services. Any broader portfolio or promotional use is governed by the Client Agreement or separate permission.
You represent that you have the rights and permissions necessary for materials you provide and that Formosi’s authorized use of them will not violate another party’s rights.
8. Third-party services and links
The Site may link to or integrate services operated by third parties, including payment processors, scheduling providers, analytics tools, advertising platforms, social networks and client websites. Formosi does not control those third parties and is not responsible for their content, availability, security or privacy practices.
Your use of a third-party service may be governed by separate terms and privacy policies. A link or integration does not necessarily mean Formosi endorses the third party.
9. Purchases, subscriptions and payments
Prices, billing schedules, setup fees, usage charges, renewal terms, cancellation rights and refund terms for paid Services are stated in the applicable Client Agreement or checkout terms.
By providing a payment method, you authorize Formosi and its payment provider to charge amounts when due, including recurring charges where the applicable order identifies an automatically renewing subscription. You are responsible for applicable taxes and for maintaining accurate billing information.
Unless a Client Agreement or applicable law states otherwise, fees paid are non-refundable and failure to use a Service does not cancel payment obligations. Advertising spend, communication usage, third-party fees and out-of-scope work may be charged separately when disclosed and approved under the applicable agreement.
10. Marketing and business results
Business, advertising and marketing performance depends on many factors outside Formosi’s control, including competition, market demand, budgets, pricing, offers, sales follow-up, platform decisions, website history, customer behavior and client participation.
Formosi does not guarantee a particular search ranking, number of leads, cost per lead, advertising result, revenue amount, profit, review count or other business outcome.
Forecasts, estimates, case studies, examples and recommendations are informational and are not promises of future performance. Past performance does not guarantee future results.
Advertising platforms, search engines, social networks and other third parties may change their policies, algorithms, pricing, features or availability at any time.
11. Automated and AI-assisted tools
Some Services may include automated workflows, artificial intelligence, generated content, virtual assistants or recommendations. Automated outputs can be incomplete, inaccurate or unsuitable for a particular purpose and require human review.
You are responsible for reviewing outputs before relying on, publishing or acting on them and for ensuring your use complies with applicable law, industry obligations and professional standards. Do not submit confidential, regulated or highly sensitive information to an AI-enabled feature unless the feature and applicable agreement expressly permit it.
12. Copyright complaints
If you believe material on the Site infringes your copyright, send a written notice containing:
- Your physical or electronic signature.
- Identification of the copyrighted work claimed to have been infringed.
- Identification and location of the allegedly infringing material.
- Your name, mailing address, telephone number and email address.
- A statement that you have a good-faith belief the disputed use is not authorized by the copyright owner, its agent or law.
- A statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the copyright owner.

Misrepresenting that material is infringing may create liability. Formosi may remove or restrict access to challenged content while reviewing a compliant notice.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND PUBLICLY AVAILABLE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
FORMOSI DISCLAIMS EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. FORMOSI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF HARMFUL COMPONENTS, OR THAT SITE CONTENT WILL ALWAYS BE COMPLETE, ACCURATE OR CURRENT.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you. Warranties for paid Services, if any, are governed by the applicable Client Agreement.
14. Limitation of liability
To the maximum extent permitted by law, Formosi and its officers, directors, employees, contractors, affiliates, licensors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunities, arising from or related to the Site.
To the maximum extent permitted by law, Formosi’s aggregate liability arising from or related to the public Site will not exceed one hundred U.S. dollars ($100). Liability relating to paid Services is governed by the applicable Client Agreement.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Formosi and its officers, directors, employees, contractors and affiliates from claims, damages, losses, liabilities and reasonable costs arising from your unlawful or unauthorized use of the Site, your violation of these Terms, or content you submit that violates another party’s rights.
This section does not expand indemnity obligations contained in a Client Agreement, which governs paid Services.
16. Suspension and termination
Formosi may suspend, restrict or terminate access to the Site if we reasonably believe you violated these Terms, created a security risk, exposed Formosi or another person to liability, or used the Site unlawfully. You may stop using the public Site at any time.
Termination of paid Services is governed by the applicable Client Agreement. Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, liability limitations, indemnification and governing-law provisions.
17. Governing law and venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Unless a Client Agreement requires another dispute process, any legal action arising from these Terms or the public Site must be brought in the state or federal courts located in Los Angeles County, California, and each party consents to those courts’ jurisdiction and venue.
18. General provisions
If a provision of these Terms is found unenforceable, it will be modified only as much as necessary or severed, and the remaining provisions will remain effective. Formosi’s failure to enforce a provision is not a waiver. You may not assign these Terms without Formosi’s written consent. Formosi may assign these Terms in connection with a merger, reorganization, sale of assets or similar transaction.
These Terms and the Privacy Policy are the complete agreement concerning use of the public Site. Client Agreements remain separate and control the applicable paid Services.
19. Changes to these Terms
Formosi may update these Terms to reflect changes in the Site, Services, business practices or law. Updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the Site after updated Terms become effective means you accept them.
